TERMS OF USE

1. ACCESS AND ACCOUNTS

1.1 Registration

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep such information updated.

1.2 Authorized Users (Including Suppliers)

The Service allows you to invite other users to access your account, including your employees, contractors, and external suppliers ("Authorized Users").

• Responsibility: You are fully responsible and liable for all activities that occur under your account, including the actions of your Authorized Users.
• Supplier Portals: If you use the Service to allow external suppliers to upload data, files, or media (the "Supplier Portal" features), you assume full liability for the content they upload. You warrant that you have obtained all necessary rights and permissions from your suppliers to use their data within FacetFlux.

1.3 Security

You are responsible for maintaining the confidentiality of your credentials. You must notify us immediately of any unauthorized use of your account. FacetFlux is not liable for any loss or damage arising from your failure to protect your credentials.

2. USE OF THE SERVICE

2.1 The "Staging Layer" and Storage

FacetFlux provides a "Staging Layer" for the ingestion and cleaning of raw product data.

• Storage Limits: While we aim to provide flexible workspaces, FacetFlux reserves the right to impose reasonable limits on the file size, storage capacity, and retention period of data in the Staging Layer. We may delete Staging Data that has been inactive for an extended period, following notice to you.
• Ephemeral Nature: The Staging Layer is designed for temporary processing. You should not rely on the Staging Layer as your primary or sole backup for raw data.

2.2 Artificial Intelligence (AI) Features

The Service utilizes Artificial Intelligence and Machine Learning models to assist with data mapping, normalization, and content generation.

• No Cross-Customer Training: FacetFlux covenants that we do not use your Confidential Information or Customer Data to train our core AI models for the benefit of other customers. Your data remains isolated to your instance.
• Accuracy Disclaimer: AI generation is probabilistic and may produce errors ("hallucinations"). You acknowledge that it is your responsibility to review and verify all AI-generated mappings, text, and attributes before publishing them. FacetFlux makes no warranties regarding the accuracy of AI-generated outputs.

2.3 Channel Syndication

The Service allows you to push product data to third-party channels (e.g., Amazon, Shopify, Zalando) ("Downstream Channels").

• No Control Over Third Parties: You acknowledge that FacetFlux does not control the policies, APIs, or operations of Downstream Channels.
• Liability Exclusion: FacetFlux is not liable if a Downstream Channel rejects your data, suspends your account, or bans your products due to data errors, policy violations, or API changes. The "Traffic Light" or "Readiness" indicators in the Service are estimates only and do not guarantee acceptance by the Downstream Channel.

3. FEES AND PAYMENT

3.1 Subscription Plans

The Service is offered on a subscription basis (Monthly or Annual).

• Payment: You agree to pay the fees applicable to your selected subscription plan. All fees are quoted in USD unless otherwise stated.
• Taxes: Fees are exclusive of taxes. You are responsible for all applicable sales, use, or value-added taxes.

3.2 Auto-Renewal

To ensure uninterrupted service, your subscription will automatically renew for the same duration as your initial term (e.g., monthly to monthly, annual to annual) unless you cancel your subscription at least 24 hours before the end of the current billing period.

3.3 No Refunds

All payment obligations are non-cancelable and fees paid are non-refundable. Whether you are on a monthly or annual plan, we do not provide refunds or credits for partial subscription periods or unused services.

5. RESTRICTIONS AND ACCEPTABLE USE

You agree not to:

1. Reverse engineer, decompile, or disassemble the Service.
2. Use the Service to store or transmit malicious code, viruses, or harmful data.
3. Use the Service to process High Risk Data (e.g., HIPAA-regulated health data, PCI-DSS regulated cardholder data) unless explicitly authorized in a separate agreement.
4. Resell, lease, or white-label the Service without a specific partner agreement.

7. TERMINATION

7.1 Termination by You

You may stop using the Service at any time. Termination does not relieve you of the obligation to pay any outstanding fees for the remainder of your current billing cycle.

7.2 Termination by Us

We may suspend or terminate your access immediately, without notice, if we determine you have materially breached these Terms (including non-payment or violation of the Acceptable Use Policy).

7.3 Effect of Termination

Upon termination, your right to access the Service ceases. It is your responsibility to export your Customer Data prior to termination. FacetFlux may delete your Customer Data 30 days after termination.
